1. Introduction and Acceptance of Terms

Welcome to pimps.com. The pimps.com website and associated services (collectively, the "Platform") are operated and maintained as a multi-vendor marketplace that enables independent sellers to list, offer, and sell handmade goods, original artwork, vintage items, collectibles, coins, jewelry, oddities, and related merchandise to buyers worldwide.

By accessing, browsing, registering for an account on, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"). These Terms constitute a legally binding agreement between you (whether as an individual or on behalf of a business entity) and pimps.com. If you do not agree to all of the provisions set forth in these Terms, you must immediately discontinue your use of the Platform.

pimps.com reserves the right to update, amend, or modify these Terms at any time, in its sole discretion, as described more fully in Section 19. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of and agreement to the updated Terms.

In addition to these Terms, your use of the Platform is also governed by the following supplementary policies, each of which is incorporated into these Terms by reference:

• Privacy Policy — governing the collection, use, and protection of your personal data
• Cookie Policy — describing the use of cookies and similar tracking technologies
• Seller Agreement — setting forth additional obligations applicable to users who sell on the Platform
• Community Guidelines — establishing standards for user behavior, content, and interactions on the Platform

Where there is a conflict between these Terms and any supplementary policy, these Terms shall control unless the supplementary policy expressly states otherwise.

2. Definitions

For the purposes of these Terms, the following definitions shall apply:

To use the Platform, you must satisfy each of the following eligibility requirements:

• Minimum Age. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater.
• Legal Capacity. You must possess the full legal capacity and authority to enter into a binding contractual agreement.
• No Prior Suspension or Removal. You must not have been previously suspended, banned, or permanently removed from the Platform.
• Compliance with Local Laws. You are solely responsible for ensuring that your use of the Platform complies with all applicable local, state, national, and international laws.

4. Account Registration and Security

4.1 Accurate Information

When creating an Account, you agree to provide information that is accurate, current, complete, and not misleading. Providing false, outdated, or incomplete information may result in immediate suspension or termination of your Account.

4.2 Confidentiality of Credentials

You are solely responsible for safeguarding the confidentiality of your login credentials. You must not share your Account credentials with any third party. All activities that occur under your Account are your responsibility.

4.3 Notification of Unauthorized Access

You must notify pimps.com immediately upon becoming aware of any unauthorized access to your Account or any other breach of security.

4.4 One Account Per Person or Entity

Each individual or business entity may maintain only one (1) Account on the Platform, unless pimps.com has provided express written authorization for additional Accounts.

4.5 Right to Refuse, Suspend, or Terminate

pimps.com reserves the right, in its sole and absolute discretion, to refuse registration, suspend access, or permanently terminate any Account for any reason, including suspected fraud, misrepresentation, or policy violations.

5. The Marketplace and Platform Role

5.1 Venue Only

pimps.com operates solely as a venue and technology platform that enables Buyers and Sellers to discover one another, communicate, and conduct transactions. pimps.com does not itself buy, sell, exchange, or take possession of any items listed on the Platform.

5.2 Not a Party to Transactions

pimps.com is not a party to any transaction between a Buyer and a Seller. The contract of sale is formed exclusively between the Buyer and the Seller.

5.3 No Endorsement or Warranty

The inclusion of any item, Listing, Seller, or Buyer on the Platform does not constitute an endorsement, recommendation, or warranty by pimps.com.

5.4 Independent Parties

Sellers are independent parties who operate their own businesses through the Platform. Sellers are not employees, agents, contractors, partners, or representatives of pimps.com.

5.5 Facilitation of Transactions

While pimps.com facilitates payment processing and certain logistical services, it does not take ownership or physical possession of any items. All obligations related to order fulfillment rest with the Seller.

6. Seller Policies

6.1 Legal Compliance

Sellers must comply with all applicable laws, statutes, regulations, and ordinances, including consumer protection laws, product safety regulations, export and import controls, and tax obligations.

6.2 Listing Accuracy

Sellers are solely responsible for the accuracy and completeness of all Listings. Each Listing must include:

• A truthful and comprehensive description of the item, including its condition, dimensions, materials, provenance, and any known defects
• Accurate, undoctored photographs that faithfully represent the item being offered
• Fair and transparent pricing that does not mislead Buyers

6.3 Order Fulfillment

Sellers must fulfill orders promptly within the timeframes specified in their Listings and communicate with Buyers in good faith regarding order status and any delays.

6.4 Item Quality and Safety

Sellers are solely responsible for ensuring the quality, safety, and legality of the items they sell. Items must conform to their descriptions and must not pose unreasonable risks of harm.

6.5 License to Display Listings

By creating a Listing, Sellers grant pimps.com a license to use, display, reproduce, promote, and market the Listing in connection with Platform operations and promotional activities.

6.6 Tax Responsibilities

Sellers are solely responsible for determining, collecting, reporting, and remitting all applicable taxes on income earned through the Platform. pimps.com may, where required by law, issue tax reporting forms (such as IRS Form 1099-K) to Sellers.

7. Buyer Policies

7.1 Review Before Purchasing

Buyers are responsible for carefully reviewing all Listing details before completing a purchase. pimps.com is not responsible for Buyer dissatisfaction arising from a failure to review available information.

7.2 Payment Obligations

By completing a purchase, Buyers agree to pay the full purchase price together with all applicable taxes, shipping charges, and other costs disclosed at checkout.

7.3 Good-Faith Communication

Buyers should communicate directly with Sellers to attempt to resolve any concerns before escalating to pimps.com.

7.4 Prohibition on System Abuse

Buyers must not misuse the Platform's dispute resolution, review, or rating systems, including filing fraudulent disputes or posting dishonest reviews.

7.5 Acknowledgment of Independent Sellers

Buyers acknowledge that all items are offered by independent Sellers, not by pimps.com. All claims regarding a purchased item should be directed first to the Seller.

8. Fees, Payments, and Payouts

8.1 Fee Structure

pimps.com charges certain fees in connection with the use of the Platform, which may include:

• Listing Fees: A fee charged to Sellers for each item listed
• Transaction Commissions: A percentage-based commission deducted from each completed sale
• Payment Processing Fees: Fees charged by third-party payment processors
• Optional Service Fees: Fees for promoted Listings, advertising placements, or premium seller tools

8.2 Fee Transparency

A complete and current schedule of all applicable fees is published on the Platform's Pricing page. pimps.com reserves the right to modify its fee structure with reasonable advance notice to Sellers.

8.3 Payment Processing

All payments are processed by third-party payment service providers. pimps.com does not directly collect or store full payment card numbers or sensitive financial information.

8.4 Seller Payouts

Seller payouts are disbursed on a regular schedule as described on the Platform, subject to processing times, minimum thresholds, and any holds pimps.com deems necessary.

8.5 Fund Withholding

pimps.com reserves the right to withhold or recoup funds in circumstances including suspected fraud, chargebacks, policy violations, or outstanding financial obligations.

8.6 Tax Obligations

Sellers are solely responsible for all taxes owed on income earned through the Platform. pimps.com does not withhold taxes on behalf of Sellers.

9. Prohibited Items and Activities

9.1 Prohibited Items

The following categories of items may not be listed, offered, sold, or distributed through the Platform under any circumstances:

• Firearms, weapons, ammunition, and weapon accessories regulated by law
• Explosives, incendiary devices, and pyrotechnic materials
• Illegal drugs, controlled substances, drug paraphernalia, and substances marketed for human consumption that lack required regulatory approval
• Counterfeit, replica, or pirated goods, including items bearing unauthorized trademarks, trade dress, or branding
• Stolen property or items obtained through unlawful means
• Hazardous materials, toxic substances, and items that pose unreasonable risks to health or safety
• Items that infringe upon the Intellectual Property rights of any third party, including unauthorized reproductions of copyrighted works
• Products subject to active safety recalls issued by any governmental authority
• Live animals of any species
• Human remains, body parts, bodily fluids, or items derived from protected or endangered species in violation of applicable law
• Sexually explicit or pornographic content and materials
• Items that promote, glorify, or incite hatred, discrimination, violence, or terrorism
• Items subject to regulatory restrictions that the Seller is not authorized to sell, including prescription medications, regulated food products, and restricted chemicals

9.2 Prohibited Activities

Users are strictly prohibited from engaging in the following activities:

• Fraud, misrepresentation, or deception of any kind, including misrepresenting the identity, condition, provenance, or value of items
• Money laundering, terrorist financing, or any activity designed to disguise the proceeds of unlawful conduct
• Price manipulation, including artificially inflating or deflating prices to distort market conditions
• Shill bidding, fake purchasing, or any practice intended to artificially increase demand or ratings
• Harassment, threats, bullying, intimidation, or abusive conduct directed at any User or pimps.com representative
• Spam, unsolicited advertising, promotional messages, or chain communications
• Creating or operating multiple Accounts to evade suspensions, manipulate reviews, or circumvent Platform policies
• Attempting to circumvent Platform fees by directing Transactions off the Platform
• Unauthorized automated access, scraping, crawling, or data harvesting from the Platform
• Introducing malware, viruses, or other harmful code to the Platform

9.3 Enforcement

pimps.com reserves the right to monitor Listings, Content, and User activity for violations. Upon identifying a violation, pimps.com may remove Listings, issue warnings, suspend or terminate Accounts, withhold funds, and report matters to law enforcement.

10. Intellectual Property Rights

10.1 Ownership of User Content

Users retain all ownership rights in the original Content they create and post on the Platform. Nothing in these Terms transfers ownership of User Content to pimps.com.

10.2 License Grant to pimps.com

By uploading or posting Content on the Platform, you grant pimps.com a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, modify, and publicly perform such Content in connection with the operation and promotion of the Platform.

10.3 Prohibition on Infringing Content

Users must not list items, upload Content, or engage in any activity that infringes upon the Intellectual Property rights of any third party.

10.4 DMCA / Intellectual Property Infringement Notice-and-Takedown Procedure

pimps.com complies with the Digital Millennium Copyright Act (DMCA). If you believe that Content on the Platform infringes your copyright, please submit a written notice to our designated agent containing:

1. Identification of the copyrighted work claimed to have been infringed
2. Identification of the infringing material with sufficient detail to locate it
3. Your contact information, including full legal name, address, telephone number, and email
4. A statement of good-faith belief that the use is not authorized by the rights owner
5. A statement, under penalty of perjury, that the information is accurate and you are authorized to act
6. Your physical or electronic signature

10.5 Counter-Notification

If you believe Content you posted was removed by mistake, you may submit a written counter-notification to the designated agent. Upon receipt of a valid counter-notification, pimps.com may restore the removed Content within ten (10) to fourteen (14) business days.

10.6 Repeat Infringer Policy

pimps.com maintains a policy of terminating the Accounts of Users who are determined to be repeat infringers of third-party Intellectual Property rights.

11. User Content and Conduct

11.1 Responsibility for Content

Users are solely and exclusively responsible for all Content they post, upload, or transmit through the Platform. pimps.com does not adopt, endorse, or assume responsibility for any User Content.

11.2 No Pre-Screening Obligation

pimps.com does not pre-screen or approve User Content prior to its publication. However, pimps.com reserves the right to monitor, review, edit, or remove any Content that violates these Terms.

11.3 Content Standards

Users must not post Content that is defamatory, obscene, threatening, discriminatory, contains malicious software, or is otherwise objectionable as determined by pimps.com.

11.4 Reviews and Ratings

Reviews and ratings must be honest, relevant, and based on genuine first-hand experiences. Fabricated or compensated reviews are strictly prohibited.

12. Marketplace Rules and Community Standards

12.1 Respectful Conduct

All Users must treat other Users, Sellers, Buyers, and pimps.com staff with courtesy, professionalism, and respect.

12.2 Prohibition on Manipulation

Users must not engage in any activity designed to manipulate search results, product rankings, review scores, or any other Platform algorithm or metric.

12.3 On-Platform Transactions

All Transactions must be completed through the Platform's designated checkout and payment systems. Users must not divert Transactions to outside channels to avoid Platform fees.

12.4 Personal Information Protection

Users must not collect, harvest, or store personal information of other Users for any purpose not expressly authorized by these Terms.

12.5 Prohibition on Spam and Scraping

Users must not send unsolicited commercial messages to other Users or engage in automated scraping or data extraction from the Platform.

13. Shipping, Delivery, and Returns

13.1 Seller Shipping Obligations

Sellers are responsible for the proper packaging, labeling, shipping, and delivery of all items sold. Items must be packaged securely using shipping methods that provide tracking information whenever reasonably available.

13.2 Shipping Costs and Delivery Estimates

Sellers must provide accurate shipping costs and realistic estimated delivery timeframes. Sellers must not artificially inflate shipping costs to circumvent Platform fees.

13.3 Risk of Loss

Risk of loss transfers from the Seller to the Buyer upon the Seller's delivery of the item to the designated shipping carrier. Neither the Seller nor pimps.com shall be liable for loss caused by the shipping carrier or third parties.

13.4 Return and Refund Policies

Returns and refunds are governed by each individual Seller's return policy, which must be clearly stated in the Seller's shop policies and applicable Listings.

13.5 Minimum Return Standards

pimps.com may establish minimum return policy standards that all Sellers are required to meet, with reasonable advance notice.

13.6 Platform Mediation

In the event that a Buyer and Seller are unable to resolve a dispute on their own, either party may request that pimps.com intervene and issue a binding resolution.

14. Dispute Resolution Between Users

14.1 Direct Resolution

Buyers and Sellers are strongly encouraged to resolve any disputes through direct, good-faith communication before involving pimps.com.

14.2 Escalation to pimps.com

If a dispute cannot be resolved through direct communication, either party may escalate the matter by opening a formal case through the Platform's dispute resolution system.

14.3 Platform Resolution Authority

pimps.com reserves the right to review disputes and render a final, binding decision. Resolutions may include issuing refunds, requiring item returns, allowing Sellers to retain payment, or issuing account actions.

14.4 Finality of Decisions

Dispute resolution decisions rendered by pimps.com are final and not subject to further appeal through the Platform, except where applicable law requires otherwise.

15. Dispute Resolution Between Users and pimps.com

15.1 Binding Arbitration

Any dispute arising out of or relating to these Terms that cannot be resolved through informal negotiation shall be resolved through final and binding individual arbitration administered by the American Arbitration Association ("AAA") in Carroll County, Arkansas.

15.2 Pre-Arbitration Informal Resolution

Before initiating arbitration, you agree to first contact pimps.com at legal@pimps.com and attempt to resolve the dispute informally for at least sixty (60) days.

15.3 Class Action Waiver

YOU AND PIMPS.COM AGREE THAT EACH PARTY MAY BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

15.4 Small Claims Court Exception

Either party may elect to bring a qualifying claim in small claims court in Carroll County, Arkansas, or any jurisdiction where the party resides, provided the claim falls within that court's jurisdictional limits.

15.5 Opt-Out Provision

You have the right to opt out of binding arbitration by sending written notice within thirty (30) calendar days of creating your Account to:

16. Limitation of Liability

16.1 "As Is" and "As Available"

THE PLATFORM AND ALL SERVICES PROVIDED BY PIMPS.COM ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND. PIMPS.COM MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR AVAILABILITY OF THE PLATFORM FOR ANY PURPOSE.

16.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIMPS.COM EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

16.3 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PIMPS.COM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO PIMPS.COM DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16.4 Exclusion of Consequential Damages

IN NO EVENT SHALL PIMPS.COM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF PIMPS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. Indemnification

You agree to indemnify, defend, and hold harmless pimps.com and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your access to or use of the Platform
• Any Content you post or transmit through the Platform
• Any Transaction you enter into as a Buyer or Seller
• Your violation of any provision of these Terms or applicable law
• Any claim that your Content infringes the rights of any third party
• Any dispute between you and another User of the Platform

18. Termination

18.1 User-Initiated Termination

You may close your Account at any time by contacting pimps.com through Account settings or by emailing support@pimps.com.

18.2 pimps.com-Initiated Termination

pimps.com reserves the right to suspend, restrict, or permanently terminate your Account at any time, including for violations of these Terms, harmful conduct, extended inactivity, or requests from law enforcement.

18.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. pimps.com shall not be liable for any consequences resulting from termination.

18.4 Surviving Provisions

Sections 10, 15, 16, 17, and 20 shall survive the termination of your Account and continue in full force and effect.

18.5 Outstanding Obligations

Termination does not relieve you of any outstanding fees, payments, or other financial liabilities incurred prior to termination.

19. Modifications to These Terms

19.1 Right to Modify

pimps.com reserves the right to amend, revise, or replace these Terms at any time. All modifications shall be effective upon posting of the revised Terms on the Platform.

19.2 Notice of Material Changes

For material changes, pimps.com will use commercially reasonable efforts to notify you via email, prominent Platform notice, or Account dashboard announcement.

19.3 Acceptance Through Continued Use

Your continued use of the Platform after the effective date of any modifications constitutes your binding acceptance of the revised Terms.

20. Governing Law and Jurisdiction

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, United States of America, without giving effect to any principles of conflicts of law.

20.2 Jurisdiction and Venue

For any legal action not subject to binding arbitration, you irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Carroll County, Arkansas, United States.

21. General Provisions

21.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary or severed from these Terms without affecting the remaining provisions.

21.2 Waiver

The failure of pimps.com to exercise any right or provision shall not constitute a waiver of such right or provision.

21.3 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Seller Agreement, and Community Guidelines, constitute the entire agreement between you and pimps.com.

21.4 Assignment

pimps.com may freely assign its rights and obligations under these Terms. You may not assign your rights without the prior written consent of pimps.com.

21.5 Force Majeure

pimps.com shall not be liable for any delay or failure to perform where such delay or failure results from causes beyond pimps.com's reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, or cyberattacks.

21.6 No Agency or Partnership

Nothing in these Terms shall be construed to create any partnership, joint venture, employment, franchise, or agency relationship between you and pimps.com.

21.7 Electronic Communications

By creating an Account, you consent to receive electronic communications from pimps.com, including emails, platform notifications, and posted notices.
